Terms of Service

1. Acceptance of Terms

By creating an account or using Foundworks ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Foundworks is a multi-department business OS powered by AI agents. You create one or more businesses; each business has departments (Marketing, Sales, Support, Product/Engineering, Ops, Finance, or custom) staffed by AI agents that read and write Markdown files in a virtual filesystem, run inside isolated cloud sandboxes, and can — with your approval — take actions in connected external services such as your Outlook account.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Generate illegal, harmful, or abusive content
  • Attempt to bypass rate limits or security measures
  • Reverse-engineer, decompile, or extract the underlying models or systems
  • Use generated outputs in ways that violate applicable laws

The full list of prohibited and restricted activities — including specific obligations when your agents send email on your behalf — lives in our Acceptable Use Policy. Violations of the AUP are violations of these Terms.

5. Intellectual Property and Responsibility for Outputs

You retain ownership of the instructions you provide and the outputs your agents generate, subject to any third-party rights. Foundworks retains all rights to the platform itself, the agent orchestration code, and the user interface.

You are responsible for content your agents send into the world. When you approve an outbound action (e.g. an email drafted by your agent and queued for your sign-off), you are the legal sender. The platform exists to put a human-in-the-loop check in front of every external action by default; you should not configure auto-approval rules without understanding the consequences.

6. Subscription Tiers and Payment

Foundworks offers three subscription tiers: Free (1 active business, $15/month of AI usage included — fully subsidized during early access), Pro (5 active businesses, €15/month included compute, 3 team seats) at €27/month, and Business (20 active businesses, €60/month included compute, 10 team seats) at €95/month. Each tier includes a monthly compute allowance; usage beyond it is covered by prepaid credits you may purchase. Subscription prices are in EUR and include Dutch VAT (21%) where it applies; the checkout and your invoices state the VAT amount.

Your monthly compute allowance resets on the first of each month; unused allowance does not carry over. Prepaid credits are non-refundable and roll over month to month. You'll receive an email warning as you approach your allowance. When your allowance and any credits are exhausted, new agent runs pause until you top up or the allowance resets — a run already in progress is allowed to finish.

Paid subscriptions are billed monthly via Mollie. You can cancel at any time from Settings → Plan & Usage; cancellation takes effect at the end of the current billing period and your account drops to the Free tier. Foundworks reserves the right to modify tier allocations with reasonable notice via email.

Right of withdrawal (consumers). If you are a consumer in the EU, you normally have the right to withdraw from a distance contract within 14 days without giving a reason. Because subscriptions and prepaid credits are digital services whose performance begins immediately, at checkout we ask for your express consent to start performance right away and your acknowledgment that you thereby lose the right of withdrawal for compute that has been consumed. Unused prepaid credits purchased within the last 14 days will be refunded on request at [email protected]; the statement above that credits are "non-refundable" applies after this withdrawal window, and never limits your mandatory consumer rights.

7. Service Availability

Foundworks is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service at any time.

8. Limitation of Liability

To the maximum extent permitted by law, Foundworks and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

9. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted in accordance with our Privacy Policy.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify registered users of material changes via email.

11. Governing Law

These Terms are governed by Dutch law. Disputes are submitted to the competent court in the Netherlands, except where mandatory law lets you as a consumer choose the court of your own place of residence. Nothing in these Terms limits protections you enjoy under mandatory consumer law of your country of residence.
